The following are the general terms and conditions (“Terms”) that apply to the placing of a pre-orders (“Pre-Order”) of Allerbi (“Product” or “Allerbi”) from Allerbi Inc. (“We”, “Us”, “Our” or “Allerbi”) through https://allerbi.com website (“Allerbi Website”). Please read these Terms carefully before submitting your Pre-Order of Allerbi. By submitting your Pre-Order, you agree to be bound by the following Terms.

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM SUBMITTING YOUR PRE-ORDER.

1. Pre-Order

1.1 A Pre-Order is a non-binding order that makes you a prioritized customer for purchasing Allerbi Core and/or Allerbi Upright upon the start of public sale of these Allerbi products in the United States and/or Canada.

1.2 To place a Pre-Order, you must provide accurate information and ensure that such information is kept current, Allerbi Inc. shall have no responsibility or liability for inaccurate and outdated information. You can update your information prior to your Product shipment by e-mailing to sales@allerbi.com. Any expenses incurred due to inaccurate or outdated information at the date of Product shipping shall be your sole responsibility and Allerbi Inc. shall bear no responsibility for that.

1.3 To place a Pre-Order, You must have the legal capacity to place a Pre-Order. This usually means that You, have to be over 18 years of age and not subject to guardianship or similar restrictions.

1.4. By making pre-order you acknowledge and agree that Allerbi Inc. may decline or delay reservations as it deems appropriate, provided that We will put our best effort to inform you within four (4) weeks of our receipt of your Pre-Order, and that you will be entitled to a full refund of the Deposit placed with Us.

1.5. Pre-Order can be placed outside of the United States, you acknowledge and confirm that you have read and agree to these Pre-Order Terms and applicable to these Terms laws of US jurisdiction.

1.6. By placing the Pre-Order, you acknowledge and confirm that you have read and agree to these Pre-Order Terms.

2. Price and Deposit

2.1. The Product full price (“Full Price”) is currently set as US$2395 for one Allerbi Upright bike and US$495 for one Allerbi Core. 

2.2 For one Pre-Order of Allerbi Upright, you will be charged a fully-refundable deposit (“Deposit”) of US$100 at the time of placing the Pre-Order. 

2.3 For one Pre-Order of Allerbi Core, you will be charged a fully-refundable deposit (“Deposit”) of US$50 at the time of placing the Pre-Order. 

2.4 At the time we ship your Product, the Deposit will be used as part of the discount Product price (“Pre-Order Price”). Your placement of a Pre-Order constitutes your express agreement to Allerbi Inc. of charging US$100 for one Allerbi Upright or US$50 for one Allerbi Core at such time.

2.5. As an advantage of Pre-Order, the Pre-Order Price is going to be US$1795 for one Allerbi Upright and US$370 for one Allerbi Core, that is about 25% discount on the Product full price.

2.6. At the time we ship your Product, you will be charged the difference between the Pre-Order Price and the Deposit. The Pre-Order Price does not include taxes and shipping charges or any custom duties and charges if we deliver the Product outside the United States.

2.7. The payment of the Deposit allows you to benefit from a delivery priority, subject to external circumstances which may affect delivery priority.

3. Final Purchase

3.1 When your Product is ready for delivery, you will receive a notice of delivery (“Notice of Delivery”) through the email address that you provide to us at the Pre-Order process.

3.2 After receiving the Notice of Delivery, you are required to go to Allerbi website to finish the final purchase within 30 days of the date when the Notice of Delivery is sent (“Date of Notice”). At final purchase, you will be charged the amount of money based on the price in accordance with Section 2.3. and information provided at above Section 2.

3.3 If you don’t plan to make the final purchase within 30 days of the Date of Notice, please contact sales@allerbi.com for cancellation, after cancellation your Deposit will be fully refunded.

3.4 If you neither notify us of cancellation nor make the final purchase within 30 days of the Date of Notice, your Pre-Order will be canceled and your Deposit will NOT be refunded.

4. Shipping and Delivery

4.1 Delivery of Products on Pre-Order is expected in the 2nd quarter of 2024. However, you agree and understand that there may be delays. You hereby accept that currently we are not able to commit to a fixed shipping or delivery date and you will be notified of updates to the same in due course. In the event that a delay arises for any reason, We will not be responsible for any damages that may occur due to the delay or cancellation of the Product.

4.2 We will provide you with periodical updates with respect to the delivery schedule. If for any reason you decide that you do not wish to continue to wait for your Product, you may cancel your reservation as described in Section 5 below.

4.3. You agree and understand that there may be extreme situations (e.g. natural disaster, war, etc.) that completely shut down the Allerbi delivery. In such situation We will reimburse the Deposit if we cannot deliver the Product within 12 months following your Pre-Order submission.

5. Cancellation and Refund

5.1 You may cancel this reservation by terminating the Pre-Order at any time for any or no reason within 30 days after your Date of Notice, you will obtain a full refund of the Deposit.

5.2. After your Date of Notice, if you neither notify us of cancellation nor make the final purchase in 30 days, your Pre-Order will be automatically canceled and your Deposit will NOT be refunded. Please refer to Section 3.4.

5.3. In order to request the refund of your Deposit, please communicate with us by e-mail at sales@allerbi.com. Upon reception of your request, we will process the reimbursement to you without undue delays. Please allow for reasonable processing time of up to two (2) weeks upon reception of your request. 

6. Configuration and Functionality

You understand that We are still improving the Product at the time of your Pre-Order. You further understand that the Product’s available features at the Full Price may have changed. By agreeing to these Terms, you represent and warrant to Us that you understand above. If for any reason you are not happy with the final version of the Product, your sole and exclusive remedy will be to cancel your Pre-Order as described in Section 5 above.

7. Age and Residency

You acknowledge that you are at least 18 years old, a resident of the United States or Canada, and will take delivery of your Product in the United States or Canada. You acknowledge and agree that Allerbi Inc. will initially focus its service efforts on certain geographical areas, and may expand to other areas as the company grows.

8. Customer Information

We will use any information that we may collect about you only in accordance with our privacy policy.

9. Limitation of Liability

UNDER NO CIRCUMSTANCES WILL ALLERBI INC. HELD LIABLE FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OR RELATED TO THIS PRE-ORDER TERMS AND CONDITIONS. IN THE EVENT ALLERBI INC. IS HELD LIABLE FOR ANY DAMAGES ARISING OUT OR RELATED TO THIS AGREEMENT, YOUR SOLE AND EXCLUSIVE REMEDY WILL BE TO CANCEL YOUR PRE-ORDER AND RECEIVE THE FULL REFUND OF YOUR DEPOSIT WITHOUT ANY INTEREST.

10. Force Majeure

Your Pre-Order does not create liability for Allerbi Inc. or you for any failure to perform due to an event beyond our control, including, but not limited to, any Act of God, terrorism, war, political insurgence, insurrection, riot, civil unrest, act of civil or military authority, unavailability of materials, strike, or any other natural or man-made eventuality outside of our control.

11. Changes to the Terms

Allerbi Inc. reserves the right to change any of the terms for any or no reason. We will provide notice of any material changes and, if you are unhappy with such changes, your sole and exclusive remedy will be to cancel your Pre-Order as described in Section 5 above.

12. Customs, Duties and Taxes

If we ship your Product outside of the United States the customs office of the destination country may impose customs fees, import duties, taxes, and other charges to your international order where applicable. These additional charges required for customs clearance are the responsibility of the recipient. When your Product arrives at customs the customs office will contact you directly to arrange for the payment of any charges that may be due. Allerbi Inc. shall not be in no case responsible for any such fees or charges and You are solely responsible for any and all fees associated with the shipping and customs fees.

13. Assignment

You may not assign your rights under these Terms (or your Pre-Order) without our express prior consent.

14. Miscellaneous Provisions

This Terms constitute the entire agreement between You and Allerbi Inc. pertaining to its subject matter and it supersedes all prior agreements, representations and understandings of the parties. The Terms shall be governed by and shall be construed in accordance with the laws of the State of Indiana. The venue for any actions relating to the subject matter or enforcement of this Terms shall be in Hamilton County, the place where the Terms were entered and is to be performed. You may not assign this Terms or any of the rights granted to you hereunder.
